Terms of Service

These Terms of Service (“Terms”) govern your use of CertLinq (“the Service”), a compliance documentation platform operated by Vayda Collective, LLC (“we,” “us,” or “our”), a company based in Holly Springs, North Carolina.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use CertLinq.

1. The Service

CertLinq is a software-as-a-service (SaaS) platform that helps commercial kitchen exhaust cleaning contractors document inspections, generate NFPA 96 compliance reports, and produce professional certificates. The Service includes AI-powered report generation, photo documentation, customer management, and certificate delivery.

2. Accounts

To use CertLinq, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorized access.

If you create accounts for team members (technicians), you are responsible for their compliance with these Terms.

3. Subscriptions and Billing

CertLinq is offered as a monthly subscription service. Current pricing tiers range from $49 to $149 per month. We offer a 14-day free trial for new accounts.

  • Subscriptions renew automatically each month unless cancelled before the renewal date.
  • You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
  • We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified via email before any price change takes effect.
  • Refunds are handled on a case-by-case basis. Contact us at support@certlinq.com for billing questions.

4. Your Content

You retain ownership of all content you upload or create through the Service, including inspection photos, report data, customer information, and certificates (“Your Content”).

By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing and improving the Service. We will not sell or share Your Content with third parties for marketing purposes.

You are responsible for ensuring that Your Content is accurate and does not violate any laws or third-party rights.

5. NFPA 96 Compliance Disclaimer

CertLinq is a documentation and reporting tool. It does not replace professional judgment, licensing requirements, or authority having jurisdiction (AHJ) approval.

  • CertLinq assists in generating documentation that follows NFPA 96 standards, but does not guarantee that any report or certificate will be accepted by any specific AHJ.
  • You are solely responsible for the accuracy of inspection data entered into the system and for meeting all applicable local, state, and federal compliance requirements.
  • AI-generated reports are based on the data you provide and current NFPA 96 guidelines. They should be reviewed by a qualified professional before submission.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or to generate fraudulent compliance documentation.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Interfere with the Service's operation or security.
  • Share your account credentials or allow unauthorized persons to access your account.
  • Upload content that is malicious, infringing, or otherwise harmful.

7. Data Retention and Export

  • We retain Your Content for as long as your account is active and for a reasonable period after cancellation to allow for data export.
  • You may export your data at any time through the Service's export functionality. We will provide data in standard formats (PDF, CSV).
  • Upon account deletion, we will permanently delete Your Content within 90 days, except where retention is required by law.

8. Limitation of Liability

To the maximum extent permitted by law, Vayda Collective, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

  • Loss of revenue, business, or profits resulting from compliance documentation generated by the Service.
  • Rejection of reports or certificates by any authority having jurisdiction.
  • Data loss due to technical failures.
  • Service interruptions or downtime.

Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Vayda Collective, LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

10. Termination

  • You may close your account at any time by contacting us at support@certlinq.com or through your account settings.
  • We may suspend or terminate your account if you violate these Terms, with notice where reasonably possible.
  • Upon termination, your right to use the Service ends immediately. You may request a data export within 30 days of termination.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Wake County, North Carolina.
